1. Introduction & Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Royal Decor Interior Designer ("Royal Decor", "we", "our", or "us") governing your access to and use of our website at http://localhost:3000 (the "Website") and your engagement with our interior design, consultation, visualization, procurement, and execution services (collectively, the "Services").
By accessing the Website, submitting an inquiry, booking a consultation, accepting a quotation, signing a project agreement, or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Website or engage our Services.
These Terms apply in addition to any written project agreement, quotation, or work order signed or accepted by you. Where a signed project agreement conflicts with these Terms, the project agreement will prevail for that specific project unless otherwise stated in writing.

2. Definitions
For the purposes of these Terms:
- "Agreement" means these Terms together with any accepted quotation, proposal, work order, or signed project contract.
- "Booking Amount" or "Advance" means any initial payment required to reserve design time, commence work, or place material orders.
- "Deliverables" means design drawings, 3D renders, mood boards, material schedules, BOQs, and other outputs produced as part of the Services.
- "Project" means an interior design or execution engagement for a residential, commercial, or custom space at an agreed location.
- "Quotation" means a written cost estimate describing scope, materials, timeline, payment milestones, and applicable taxes.
3. Scope of Services
Royal Decor provides interior design and related services including, but not limited to, residential and commercial interiors, bedroom and kitchen design, modular kitchens, lighting design, custom furniture, 3D visualization, space planning, material selection, procurement assistance, and turnkey execution across Haldia, Kolkata, and other locations in West Bengal, India.
Services may be offered as:
- Consultation-only: initial discussions, site visits, and advisory sessions;
- Design-only: concept development, layouts, and 3D renders without execution;
- Turnkey / execution: end-to-end design and on-site implementation;
- Partial scope: room-specific or trade-specific packages (e.g., kitchen, wardrobe, lighting).
The exact scope, exclusions, deliverables, and service level for your Project will be defined in your Quotation or project agreement. We do not guarantee outcomes beyond what is expressly documented in that agreement.
4. Eligibility & Client Responsibilities
You represent that you are at least eighteen (18) years of age and have the legal capacity to enter into binding contracts. If you are acting on behalf of a company, society, or property owner, you confirm that you are authorized to bind that entity.
As a Client, you agree to:
- Provide accurate contact details, site address, and project requirements;
- Grant safe and timely access to the project site for surveys, measurements, and execution;
- Obtain necessary permissions from landlords, housing societies, RWA, or building management where required;
- Make timely decisions and approvals to avoid project delays;
- Ensure utilities (electricity, water, lift access) are available during site work where applicable;
- Pay invoices and milestone amounts according to the agreed schedule;
- Inform us of structural constraints, hidden services, or site conditions that may affect design or execution.
Delays caused by incomplete information, restricted site access, pending approvals, or late payments may extend the project timeline and may incur additional costs, which will be communicated in advance where possible.
5. Consultations & Site Visits
We may offer a free initial consultation or site visit for eligible projects within our service areas. Free consultations are subject to availability, geographic coverage, and project viability at our sole discretion.
Consultations are intended to understand your requirements, budget range, timeline, and site conditions. Any verbal estimates shared during a consultation are indicative only and are not binding until confirmed in a written Quotation.
If you reschedule or cancel a confirmed site visit with less than twenty-four (24) hours' notice on multiple occasions, we may require a rescheduling fee or decline further free visits for that inquiry.
Detailed design work, 3D visualization, detailed BOQs, or repeat site visits beyond the initial scope may require a paid design fee or booking amount as specified in your Quotation.
6. Quotations, Proposals & Agreements
All formal pricing is provided through written Quotations or proposals sent via email, WhatsApp, PDF, or our official channels. A Project begins only after you accept the Quotation and pay any required Booking Amount, unless otherwise agreed in writing.
Quotations typically include:
- Scope of work and deliverables;
- Material specifications and finish levels;
- Estimated timeline and key milestones;
- Payment schedule and applicable taxes (GST where applicable);
- Inclusions, exclusions, and assumptions;
- Warranty terms, if any, for executed work.
Quotations are valid for the period stated therein (typically seven (7) to thirty (30) days). Material prices, freight, labour rates, or vendor availability may change after expiry, requiring a revised Quotation.
Any change in scope — including additional rooms, upgraded materials, structural modifications, or client-requested design revisions beyond included rounds — will be documented through a change order or revised Quotation and may affect cost and timeline.
7. Payments & Billing
Unless otherwise stated in your Quotation, interior design and execution projects generally follow a milestone-based payment structure, which may include:
- Booking / token amount: to confirm engagement and allocate design resources;
- Design approval stage: upon sign-off of layouts and 3D renders;
- Production / procurement stage: before ordering custom materials or modular units;
- Execution milestones: linked to on-site progress;
- Final payment: before or at handover, as specified in the agreement.
All amounts are payable in Indian Rupees (INR) via bank transfer, UPI, cheque, or other methods we officially accept. Payments must be made to Royal Decor Interior Designer accounts or representatives authorized in writing. We are not responsible for payments made to unauthorized third parties.
Late payments may pause design work, procurement, or site execution until outstanding dues are cleared. We reserve the right to charge interest or holding fees on overdue amounts where permitted by law and stated in the project agreement.
Taxes, government levies, society charges, lift usage fees, parking, statutory approvals, and utility connections are included in the Quotation only if explicitly mentioned. Otherwise, they remain the Client's responsibility.

8. Project Timeline & Delays
We provide estimated timelines based on project scope, site readiness, material lead times, and labour availability. Timelines are targets, not guarantees, unless expressly guaranteed in writing for a specific milestone.
Delays may occur due to factors including but not limited to:
- Client-side approval delays or scope changes;
- Non-availability of site access or possession;
- Material supply chain delays or discontinued products;
- Civil or structural work by other contractors;
- Weather, festivals, local restrictions, or force majeure events;
- Hidden site conditions discovered during execution.
We will communicate material delays and revised schedules in good faith. Royal Decor is not liable for indirect losses arising from timeline extensions unless caused by proven gross negligence and required under applicable law.
9. Design Approvals & Revisions
Design development includes agreed stages such as layout planning, 3D visualization, material selection, and final sign-off. You must review and approve each stage in writing (email, WhatsApp, or signed document) before we proceed to subsequent stages or place material orders.
Each Quotation specifies the number of design revision rounds included. Additional revisions, major layout changes after approval, or redesign requests after procurement has started may be billable and may reset timelines.
Once you approve designs, materials, colours, dimensions, and finishes, subsequent changes requested by you may result in wastage, rework, or reorder costs that will be charged to you.
10. Materials, Procurement & Subcontractors
We source materials from trusted vendors and manufacturers. Material samples, swatches, and catalogue references are indicative; minor variation in shade, grain, texture, or batch may occur due to manufacturing differences.
Where materials are custom-made (modular kitchens, wardrobes, furniture, false ceiling, etc.), orders may be non-cancellable once production begins. Such items are subject to vendor lead times and quality inspection on delivery.
We may engage subcontractors, fabricators, electricians, plumbers, and other specialists. We remain responsible for coordinating project delivery but are not liable for independent services outside our agreed scope unless explicitly included in the Quotation.
If you choose to supply your own materials, fixtures, or appliances ("client-supplied materials"), we are not responsible for defects, compatibility issues, delays, or wastage arising from those materials. Additional labour or waiting time may be chargeable.
11. Warranties & Service Limitations
We stand behind the quality of our executed work. Warranty terms — including duration, coverage, and exclusions — are specified in your project agreement or handover document. Typical warranty coverage may include workmanship defects for a defined period, subject to normal use and proper maintenance.
Warranties generally do not cover:
- Normal wear and tear, fading, or ageing of materials;
- Damage caused by misuse, moisture ingress, pests, or unauthorized modifications;
- Client-supplied materials or third-party appliances;
- Issues arising from building structural defects or external leaks;
- Consumables, bulbs, hinges adjustments after initial settling period (unless under OEM warranty).
Manufacturer warranties on hardware, appliances, laminates, or modular systems pass through to you where applicable. Warranty service requests must be reported promptly with supporting details and photos.
Except as expressly stated in your agreement, the Website and preliminary consultations are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.
12. Intellectual Property
All content on the Website — including text, images, logos, project photographs, layouts, and branding — is owned by or licensed to Royal Decor and protected under applicable intellectual property laws. You may not copy, reproduce, distribute, or commercially exploit Website content without our prior written consent.
Design Deliverables created for your Project remain our intellectual property until all agreed fees are paid in full. Upon full payment, you receive a license to use the final approved designs for your personal or business use at the project site. You may not resell, republish, or reuse designs for other properties or commercial reproduction without permission.
We may showcase completed projects (photographs, renders, and general descriptions) in our portfolio, Website, social media, and marketing materials unless you notify us in writing before project completion that you require confidentiality.
13. Website Use & Acceptable Conduct
When using our Website, you agree not to:
- Submit false, misleading, or fraudulent inquiries;
- Attempt unauthorized access to our systems or admin areas;
- Upload malware, spam, or harmful code through forms or communications;
- Scrape, harvest, or automate data collection without permission;
- Use our brand, content, or project images to misrepresent affiliation with Royal Decor;
- Harass, abuse, or threaten our staff, partners, or other users.
We may suspend or restrict Website access or refuse service to anyone who violates these Terms or engages in abusive or unlawful conduct.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Royal Decor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, business interruption, or loss of data, arising from your use of the Website or Services.
Our aggregate liability for any claim relating to a specific Project shall not exceed the total amount paid by you to us for that Project under the accepted Quotation, except where liability cannot be limited under Indian law (including certain consumer protection or wilful misconduct scenarios).
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Royal Decor, its owners, employees, and partners from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of:
- Your breach of these Terms or a project agreement;
- Your misuse of the Website or Deliverables;
- Disputes related to property ownership, society permissions, or landlord approvals;
- Client-supplied materials or instructions that cause damage or non-compliance;
- Third-party claims resulting from your actions at the project site.
16. Suspension & Termination
Either party may terminate a Project as per the cancellation and refund terms in the project agreement and our Refund & Cancellation Policy.
We may suspend or terminate Services immediately if:
- You fail to make agreed payments after reminder;
- You breach these Terms or engage in abusive conduct toward our team;
- Site access is denied for an extended period without rescheduling agreement;
- Continuing the Project would violate law or pose safety risks.
Upon termination, you remain responsible for work completed, costs incurred, non-cancellable orders, and applicable cancellation charges up to the termination date.
17. Dispute Resolution & Governing Law
These Terms are governed by the laws of India. Subject to applicable consumer protection laws, the courts at Haldia, West Bengal shall have exclusive jurisdiction over disputes arising from or relating to these Terms or our Services.
Before initiating formal proceedings, we encourage you to contact us at info@royaldecoration.in so we can attempt good-faith resolution. Many concerns regarding timelines, workmanship, or billing can be resolved through direct discussion and site review.
Nothing in this section prevents you from pursuing remedies available under the Consumer Protection Act, 2019, or other applicable statutes where you qualify as a consumer.
18. Force Majeure
We shall not be liable for failure or delay in performing obligations due to events beyond our reasonable control, including natural disasters, epidemics, government restrictions, strikes, war, utility failures, supply chain disruptions, or other force majeure events.
During such events, timelines and obligations may be extended. If a force majeure condition persists for more than sixty (60) days, either party may terminate the affected Project upon written notice, with settlement handled per the Refund & Cancellation Policy and work completed to date.
19. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will update the "Last updated" date at the top of this page.
Continued use of the Website after updated Terms are posted constitutes acceptance of the revised Terms. For active Projects, the Terms in effect at the time of Quotation acceptance apply unless otherwise agreed.
